Alteration of Memorandum
The clause in the Memorandum of Association containing the objects of the company can be changed by special resolution. There is no mechanism to change other provisions, such as the name, share capital and so forth in the Memorandum of Association although they may be subject to alteration. It is common for notes to be added to the Memorandum of Association showing subsequent changes. There is a procedure for shareholders to object to an alteration of the Memorandum of Association. The Articles of Association may be changed by special resolution either by adopting a new set of Articles or by amending specific articles. The amended Articles of Association must be filed at the Companies Registry.
