just and equitable

just and equitable
One of the grounds on which a Court may order the winding up of a company under Section 122 of the Insolvency Act 1986. Although widely discretionary, there are established precedents for the circumstances where this ground may be applicable, for example, where a company runs a quasi-partnership and there would be grounds to dissolve the partnership.
