City Code on Takeovers and Mergers
a body of principles and rules regulating the conduct of takeovers and mergers of public companies. While its provisions are not legally binding, contravention may result in the imposition of sanctions by the Stock Exchange. The Panel on Takeovers and Mergers (The City Panel) is responsible for the operation of the Code.

City Code on Takeovers and Mergers
Known as the City Code, the Takeover Code or the Blue Book. A set of statutory rules and general principles in relation to all offers and other transactions to which the Code applies. The Code rules and general principles regulate the conduct of UK public takeovers, as well as certain takeovers where there is a shared jurisdiction between the UK and other EEA countries. The Code is administered by the Panel on Takeovers and Mergers.
