Any activity undertaken for the purpose of, or that could reasonably be expected to result in, directing the sale of securities to US residents. US Securities and Exchange Commission Regulation S exempts, from the registration requirements of the US Securities Act of 1933, certain offers and sales made outside the US to foreign residents.
