trombone rights issue
A rights issue offer (usually of convertible securities) typically (but not necessarily) paid up in two instalments. The first instalment is paid when the rights issue offer closes and the second, if and when the relevant condition is satisfied (and the acquisition is to be completed).
Trombone rights issues are commonly used where a company wishes to fund an acquisition by a rights issue but the acquisition is subject to a condition or conditions which cannot be fulfilled before the rights issue is launched.
