A document providing any information which is omitted from a base prospectus filed with the SEC in connection with a shelf registration. For instance, a shelf issuer may make material modifications to its existing shelf registration statement's plan of distribution or add or replace selling stockholders by filing a prospectus supplement rather than by filing a post-effective amendment, thereby avoiding any delay caused by waiting for the SEC staff to declare the post-effective amendment effective.
