minority protection
rules developed in order to safeguard minority shareholders from possible abuse of power by holders of the majority of shares in a limited company. The remedies that are available include: just and equitable winding up; applying for relief for unfair prejudice; bringing a derivative or representative action; and seeking an inspection and investigation of the company.
