elective resolutions
Certain statutory procedures such as dispensing with laying of accounts and reports before general meetings require an elective resolution. These require 21 days' notice and unanimous approval by those shareholders available to vote. An elective resolution can be overturned by ordinary resolution (Sections 366A and 379A Companies Act 1985).
