simple majority
More than half the votes counted at a meeting in respect of a resolution including the chairman's casting vote if there is a tied vote. Voting is conducted by hand but if done by a poll, the votes carried by the shares held by those voting are counted. With respect to shareholder's meetings, unless the Articles of Association provide otherwise, the count only relates to those present (whether in person or by proxy) and voting (by hand or poll) at the meeting.
