Section 212 notice

Section 212 notice
A notice issued under section 212 of the Companies Act 1985 that allows a public company to investigate the identity and other detail of any person it knows, or suspects, is (or was at any time in the preceding three years) interested in its shares. It enables companies to identify when a potential predator is building up a holding in the company through nominee company names. Note - on 20 January 2007 section 212 was repealed and replaced by section 793 of the Companies Act 2006 (which re-enacts section 212(1) to (4) of the 1985 Act), see Practice note, Information about interests in shares: Companies Act 2006.
