US reporting issuer
An issuer or company that has securities registered under the US Securities Exchange Act of 1934 or is required under that Act to file periodic reports with the US Securities and Exchange Commission (SEC), and, in either case, that has filed all the required materials with the SEC for the immediately preceding 12 months.
