A certificate, delivered by the borrower to the lender that describes collateral that the borrower owns and other details about the loan parties, such as correct legal names, is a typical condition precedent in a secured loan agreement. An officer of the borrower certifies that the information in the schedules attached to the certificate is true and correct. The lender uses the information in the certificate to gather information about the collateral in which it has a security interest and to ensure that its interest is properly perfected.
