subscription agreement
An agreement between an investor, a company and its directors setting out the terms on which the company will issue shares and other securities to the investor and containing warranties, restrictive covenants and other provisions regulating the affairs of the company.

Also known as a purchase agreement. The purchase agreement is the principal agreement between the issuer and the investor in an unregistered offering of debt or equity securities. The agreement, which sets out the terms and conditions of the investment, contains an agreement by the investors to buy the issuer's securities, the purchase price, the representations and warranties of the parties and certain covenants. The issuer obtains certain relevant information from prospective investors to ensure that the investors meet the criteria of the applicable private placement exemptions.
